1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of www.outsourcedrive.com (the "Platform"), operated by Outsource Drive Pty Ltd, a company registered in South Africa ("OutsourceDrive", "we", "us" or "our").

By accessing or using the Platform, creating an account or engaging in any transaction through the Platform, you ("User", "you") agree to be bound by these Terms.

If you do not agree, you must not use the Platform.

2. Definitions

  • Client means any individual or business seeking outsourcing, BPO or freelance services through the Platform.
  • Supplier means any South African individual, freelancer, agency or business offering services through the Platform.
  • Services means the marketplace, matching, listing, communication and payment-facilitation services provided by OutsourceDrive.
  • Engagement means any agreement for services entered into between a Client and a Supplier, whether facilitated in whole or in part through the Platform.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use the Platform.

Suppliers represent that they hold all licences, registrations and tax clearances required to lawfully provide their services.

4. Description of Services

OutsourceDrive operates an online marketplace that connects Clients with vetted South African Suppliers for outsourcing, business process outsourcing and related services.

OutsourceDrive facilitates discovery, communication, contracting and payment processing between Clients and Suppliers.

OutsourceDrive is not itself a party to any Engagement between a Client and a Supplier unless expressly stated otherwise in writing.

OutsourceDrive does not guarantee the quality, timeliness, legality or outcome of any Engagement.

5. Account Registration

  • You must provide accurate, current and complete information when registering.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must notify us immediately of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

6. Client Obligations

Clients agree to:

  • Provide accurate project requirements and timely, lawful instructions to Suppliers.
  • Pay all agreed fees in accordance with Section 7.
  • Treat Suppliers professionally and in accordance with applicable labour and human rights standards.
  • Not attempt to circumvent the Platform to avoid applicable fees.

7. Payments, Fees and Escrow

7.1 Payment Processing

All payments between Clients and Suppliers for Engagements made through the Platform must be processed through OutsourceDrive's designated payment system.

OutsourceDrive uses a third-party payment processor to handle transactions. By using the Platform, you also agree to that processor's applicable terms.

7.2 Escrow and Milestone Payments

Where escrow or milestone-based payments are offered, Client funds will be held by OutsourceDrive or its payment processor and released to the Supplier upon satisfactory completion of the agreed milestone, deliverable or time period, subject to the dispute process in Section 8.

7.3 Platform Fees

OutsourceDrive charges a service or commission fee disclosed to Clients and/or Suppliers before confirmation of an Engagement.

Fees are non-refundable except as set out in Section 8.

7.4 Taxes

Suppliers are solely responsible for determining and remitting any taxes, including VAT and income tax, applicable to amounts earned through the Platform.

7.5 No Circumvention

Users may not solicit or agree to payments outside the Platform for any Engagement originating through OutsourceDrive for a period of 12 months from the first introduction in order to avoid Platform fees.

Doing so is a material breach of these Terms and may result in account termination and recovery of unpaid fees.

8. Refunds and Dispute Resolution

8.1 Raising a Dispute

Where a Client and Supplier dispute the quality or completion of work, either party may raise a dispute through the Platform's resolution process within five working days of the relevant milestone.

8.2 Review of Evidence

OutsourceDrive will review submitted evidence and may, at its reasonable discretion, release, withhold or partially release escrowed funds.

OutsourceDrive's decision on the release of funds is final but does not affect either party's other legal rights.

8.3 Commercial Disputes

OutsourceDrive is not obliged to arbitrate the underlying merits of a commercial dispute and encourages Users to resolve disagreements directly wherever possible.

9. Intellectual Property

9.1 Engagement Work

Unless otherwise agreed in writing between the Client and Supplier, ownership of work product and deliverables created under an Engagement is governed by the agreement between those parties.

9.2 Platform Intellectual Property

The Platform itself, including its software, design, trademarks, logos and content, is owned by OutsourceDrive and protected by applicable intellectual property laws.

You may not copy, modify or distribute any part of the Platform without written permission.

10. Prohibited Conduct

Users may not:

  • Post false, misleading or fraudulent information.
  • Use the Platform for any unlawful purpose, including money laundering or sanctions evasion.
  • Harass, discriminate against or abuse other Users.
  • Attempt to circumvent security features or reverse-engineer the Platform.
  • Use the Platform to recruit Suppliers for services unrelated to legitimate outsourcing work.

11. Suspension and Termination

We may suspend or terminate your account, with or without notice, if you breach these Terms, engage in fraudulent conduct or pose a risk to other Users or the Platform.

You may close your account at any time, subject to settlement of any outstanding payments or obligations.

12. Disclaimers

The Platform is provided "as is" and "as available".

To the maximum extent permitted by law, OutsourceDrive disclaims all warranties, express or implied, regarding the Platform, including fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.

OutsourceDrive does not warrant the skills, conduct or output of any Supplier or the instructions or conduct of any Client.

13. Limitation of Liability

To the maximum extent permitted by South African law, OutsourceDrive's total liability arising out of or relating to these Terms or the Platform shall not exceed the total fees paid to OutsourceDrive by the affected User in the six months preceding the claim.

OutsourceDrive shall not be liable for indirect, incidental, special or consequential damages, including loss of profits, data or business opportunity.

Nothing in these Terms limits liability that cannot lawfully be excluded, including liability for gross negligence or wilful misconduct.

14. Indemnification

You agree to indemnify and hold harmless OutsourceDrive, its directors, employees and agents from any claims, losses or damages arising from your breach of these Terms, your Engagement with another User, or your violation of any law or third-party right.

15. Confidentiality

Users agree to keep confidential any non-public business, technical or client information shared through the Platform in the course of an Engagement and to use such information solely for the purposes of that Engagement.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of South Africa.

Users submit to the exclusive jurisdiction of the South African courts, without prejudice to OutsourceDrive's right to seek relief in any competent jurisdiction.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Platform or by email.

Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
